These Terms describe the rules for using Subtriva. Please review them carefully before creating an account or uploading business records.
Important notice
This document describes Subtriva's current service practices. It is not a substitute for legal advice. Have qualified counsel review it before relying on it as a binding legal document.
1. Agreement and Eligibility
These Terms govern access to Subtriva’s websites and contractor compliance management service. By creating an account, signing an order, or using the service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent. You must have authority to bind that organization and be legally able to enter into a contract.
If a signed order or separate written agreement conflicts with these Terms, the signed agreement controls for the conflict. Additional terms may apply to specific integrations, payment services, or beta features.
2. The Service and Customer Content
Subtriva provides software for organizing projects, subcontractors, licenses, permits, insurance certificates, compliance documents, reminders, team access, document requests, and related workflows. Features and availability may vary by plan and may change over time. The service is an administrative tool and is not legal, insurance, safety, underwriting, or regulatory advice.
You retain your rights in data and documents you submit (“Customer Content”). You grant Subtriva a limited license to host, process, transmit, display, and otherwise use Customer Content solely to provide, secure, support, and improve the service in accordance with these Terms and the Privacy Policy. You authorize us to use service providers for those purposes.
3. Accounts and Security
You must provide accurate account information, protect credentials, promptly notify us of suspected compromise, and ensure team members use individual authorized accounts. You are responsible for actions taken through your accounts, subject to applicable law and our security obligations.
Do not share administrator credentials or bypass access controls. We may suspend access where necessary to investigate abuse, protect accounts, comply with law, or prevent harm, and will provide notice where practicable.
4. Customer Responsibilities and Permissions
You are responsible for the accuracy, lawfulness, and completeness of Customer Content; obtaining permissions and notices needed to upload or share subcontractor documents; choosing appropriate project requirements and reminder recipients; and reviewing AI-extracted fields and compliance flags before taking action.
You must not use Subtriva to make automated decisions that unlawfully discriminate, to provide false compliance attestations, or to send unwanted or unlawful communications. You must not upload malware, exploit vulnerabilities, interfere with the service, reverse engineer it except where law permits, or access another customer’s data.
5. Plans, Trials, and Limits
Plan features, limits, and prices are shown on the pricing page or a checkout/order page. A free trial, if offered, lasts for the stated period and provides only the selected plan’s trial features and limits. Unless checkout clearly states otherwise, no payment method is required to begin a cardless trial and a paid subscription begins only after a successful checkout.
When a trial or paid period ends, access to paid features may be restricted until the customer upgrades, renews, or otherwise restores an eligible subscription. We may limit use that exceeds the selected plan’s published quotas. Plan entitlements displayed in the service are informational and may be subject to the governing order.
6. Billing, Renewal, and Taxes
Paid subscriptions are billed in advance at the price and interval shown at checkout and generally renew automatically until canceled. Lemon Squeezy may act as merchant of record and process payment, tax, invoices, and renewal. Its checkout terms also apply to payment transactions.
You authorize the payment provider to charge the selected payment method for recurring fees, taxes, and applicable amounts. Prices may change with advance notice as required by law. You are responsible for applicable taxes except taxes on Subtriva’s net income.
7. Cancellation and Refunds
You may cancel a subscription using the available account or payment-provider controls. Cancellation generally stops future renewal; paid access continues through the period already paid unless the checkout or applicable law says otherwise. Refund eligibility is described in the Refund & Cancellation Policy and the merchant of record’s terms.
If you believe a charge is incorrect, contact billing support promptly and provide the transaction details. Nothing in these Terms limits mandatory consumer rights.
8. Third-Party Services and Links
The service may link to or integrate with Supabase, Vercel, Lemon Squeezy, email delivery providers, AI providers, and other third parties. Those services are governed by their own terms and privacy notices. We are not responsible for third-party services outside our control.
9. Intellectual Property
Subtriva and its licensors own the service, software, branding, and related intellectual property. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes during your subscription. Feedback may be used to improve the service without obligation, provided it does not disclose your confidential information.
10. Availability, Changes, and Support
We aim to provide reliable service but do not guarantee uninterrupted, error-free, or continuous availability. We may perform maintenance, modify features, or discontinue a feature. We will use reasonable efforts to provide notice of material changes that affect active customers.
11. Disclaimers
To the maximum extent permitted by law, the service is provided “as is” and “as available.” Subtriva disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that documents or AI results are accurate, complete, current, authentic, or sufficient for a legal or insurance requirement. Customers must independently verify critical records and decisions.
12. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data, arising out of the service. Subtriva’s aggregate liability for claims relating to the service will not exceed the fees paid or payable by the customer for the service in the 12 months before the event giving rise to the claim. These limitations do not apply where prohibited by law or to liabilities that cannot legally be limited.
13. Indemnification
You agree to defend and indemnify Subtriva and its personnel against third-party claims arising from your unlawful use of the service, your Customer Content, or your breach of these Terms, except to the extent caused by Subtriva’s own breach, negligence, or willful misconduct. We will provide reasonable notice and cooperation for a covered claim.
14. Suspension and Termination
You may stop using the service and cancel paid subscriptions at any time. We may suspend or terminate access for material breach, non-payment, legal requirements, security risks, or discontinued service. On termination, your right to use the service ends; data export and deletion are handled under the Privacy Policy and any applicable order.
15. Governing Law and Disputes
The governing law, venue, and dispute process must be specified by the operating legal entity and reviewed by counsel before publication. Until that information is added, nothing in these Terms chooses a jurisdiction or waives rights available under applicable law. Use the Contact page to attempt an informal resolution.
16. Changes to These Terms
We may update these Terms by changing the revision date and providing notice when required. Material changes will take effect on the date stated in the notice. Continued use after that date constitutes acceptance only to the extent permitted by law.
17. Contact
For questions about these Terms, use the Contact page. The company’s full legal name and service address must be confirmed and inserted before these Terms are treated as final.
